App licence agreement

End-user licence agreement for the RTR app on Clover.

This agreement applies to a restaurant that installs the RTR app on its Clover merchant account. It starts when you install the app and ends when you uninstall it.

Effective date: September 26, 2026

1. This agreement

This end-user licence agreement ("EULA") is between Read the Room Systems Inc., operating as RTR Systems / ReadTheRoom ("RTR," "we," "us"), and the business that installs the RTR app on a Clover merchant account ("you"). By installing the app, you accept this EULA, and the person installing it confirms they are authorized to do so for the business.

Clover and its affiliates are not parties to this EULA. RTR, not Clover, licenses and provides the app, and RTR alone is responsible for it and for its support.

This EULA works together with our Terms of Service and Privacy Policy. If your organization has a signed agreement with RTR, that agreement controls where it conflicts with this EULA. Otherwise this EULA controls for the RTR app on Clover.

2. Term

This EULA starts when you install the RTR app on your Clover merchant account and authorize its permissions. It ends when the app is uninstalled from that merchant account, or earlier under section 13. If your business has several Clover merchant accounts, this EULA applies separately to each account on which the app is installed.

Sections 6, 7, 11, 12 and 15 continue after the EULA ends, for as long as needed to give them effect.

3. What the app does

The app connects your Clover merchant account to RTR so RTR can calculate nightly tip cashouts. With your authorization it reads:

  • Merchant details (Read merchant), to link the account to the right restaurant and learn when the app is installed or uninstalled;
  • Payments and refunds (Read payments), including tips and card brand and last four digits, to match card tips to each shift;
  • Employee names and roles (Read employees), only if your organization turns this on, to credit tips to the right person.

The app is read-only. It does not create or change orders, payments, employees or settings in Clover. Any payment to your staff is made by you, outside RTR. RTR does not receive full card numbers.

4. Licence

During the term, RTR grants you a limited, non-exclusive, non-transferable licence to use the app and the RTR service it connects to, for your internal business operations, by the users your organization authorizes.

You may not copy, modify, resell or sublicense the app; reverse engineer it, except where the law does not allow this restriction; interfere with its security; use it to access data you are not authorized to access; or use it to build a competing product. RTR and its licensors keep all rights in the app and the service.

5. Your responsibilities

  • You have the authority to connect your Clover account and to let RTR read the data described in section 3.
  • You give your employees any notice your employment and privacy obligations require about the information RTR reads and calculates, such as the payments and tips linked to them.
  • You keep your restaurant settings, such as tip-out rates and role weights, accurate, and you review each cashout before paying anyone. RTR's calculations are an operational tool, not payroll, tax or legal advice.
  • You control who in your organization can see your records, and remove access that is no longer needed.

6. Your data and how RTR processes it

You keep your rights in your data. RTR processes the data it receives from Clover as your service provider, only to provide RTR to you, and on your instructions. You instruct RTR to make your data available to the people your organization authorizes in RTR, according to the roles your organization assigns, which may include your head office or franchisor where you belong to one.

RTR will:

  • not sell your data, use it for advertising, send it to AI services, or combine it with other customers' data;
  • limit access to people who need it, and bind its sub-processors to written obligations at least as protective as these;
  • protect your data with encrypted connections, database-enforced separation from other customers' data, and encrypted storage of your Clover access token;
  • notify you and Clover promptly, and in any event within 72 hours of confirming it, if an incident affects your data, and give you the information you need to meet your own obligations;
  • help you respond to requests from individuals about their personal information.

Our Privacy Policy describes the Clover data we read, why, where it is stored and who processes it.

7. Uninstall and deletion

When the app is uninstalled, RTR stops reading your Clover data and deletes its access to your account. For 30 days you may ask us for a copy of the records RTR holds from your Clover account. After that, RTR permanently and securely deletes the data it received from Clover for that merchant account from its production systems, and backup copies expire within a further 30 days.

If your organization has a separate written agreement with RTR, such as an order under our Terms of Service, cashout records your organization keeps in RTR are handled under that agreement. The data deletion page sets out each step.

8. Fees

RTR does not charge for the app through Clover. Any fees for RTR are set out in your organization's order or agreement with RTR.

9. Support

RTR provides support for the app. Setup steps, answers to common questions and our contact details, including phone and hours, are on our support page. Clover provides support for Clover devices, accounts and payments.

10. Clover

Clover is an independent company. Your use of Clover is governed by your agreements with Clover, and Clover's privacy policy covers its own handling of your information. Clover is not responsible for the app, and has no liability to you under this EULA. RTR is not made or endorsed by Clover. Changes Clover makes to its services may affect the app.

11. Disclaimers

Except as stated in this EULA or a signed agreement, the app is provided "as is" and "as available." To the extent the law allows, RTR disclaims implied warranties and conditions, including merchantability, fitness for a particular purpose and uninterrupted operation. RTR does not guarantee that data from Clover or other connected systems is complete or accurate.

12. Limitation of liability

To the extent the law allows, neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or revenue. RTR's total liability relating to the app is limited to the fees paid to RTR for the affected service in the 12 months before the event giving rise to the claim, or CAD $100 if no fees were paid.

These limits do not apply to liability for fraud or wilful misconduct, or to liability the law does not allow to be limited.

13. Ending the agreement

You may end this EULA at any time by uninstalling the app. RTR may suspend or end your use of the app if you breach this EULA, if continuing would create a security or legal risk, or if RTR stops offering the app. RTR will notify you by email first, unless a security or legal issue requires immediate action. When this EULA ends, your licence ends and section 7 applies.

14. Changes

RTR may update this EULA. We will post the new version here with its effective date and tell your organization's account owner by email at least 30 days before a material change takes effect. If you do not agree to the change, you may uninstall the app before it takes effect.

15. General

This EULA is governed by the laws of Ontario and the federal laws of Canada that apply there. The courts in Toronto, Ontario have jurisdiction, except where the law requires another forum. You may not assign this EULA without RTR's consent, except with the sale of your business. If a provision is unenforceable, the rest remains in effect.
